Terms of Use

This Terms of Use Agreement (the “Agreement”) is a legal agreement between you (the “User,” “you,” or “your”) and Burkson Technologies, Inc., doing business as RideStyler (“RideStyler,” “we,” “us,” or “our”). We provide Users with access to an automotive Software-as-a-Service (SaaS) platform, including an API for distributing product and vehicle imagery, data, and other information, user-generated content such as image galleries for vehicle builds, and an open-ended content management system (CMS) similar to industry-standard platforms like Shopify or WordPress (collectively, the “Services”). These Services are offered directly and through our website and associated domains at https://www.ridestyler.com (the “Site”). By accessing or using the Services or Site in any way, you agree to comply with this Agreement, our Privacy Policy, and any other legal notices, conditions, or guidelines posted on the Site.
1. Ownership of Materials
All content, software, and services available on or through the Site or Services, including but not limited to the API, CMS, software code, informational text, documentation, designs, layouts, photographs, graphics, audio, video, messages, interactive features, user interfaces, files, data, vehicle imagery, and all derivative works thereof (collectively, the “Materials”), are owned by RideStyler or our licensors, affiliates, subsidiaries, employees, agents, or commercial partners. These Materials are protected by copyright, trademark, trade secret, and other intellectual property laws. All RideStyler trademarks, service marks, logos, slogans, and taglines are the exclusive property of RideStyler. All other trademarks, service marks, logos, slogans, and taglines belong to their respective owners. Unless explicitly stated in this Agreement, nothing herein grants you any license or right to use any such intellectual property without our express written permission or that of the applicable third-party owner.
2. License to Use Our Materials
Subject to this Agreement, RideStyler grants you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive license to access and use the Materials via a user identification reference (“User ID”) provided by us, solely to the extent necessary to utilize the Services as intended. This license permits use of the API, CMS, and other features for your automotive business purposes, such as managing content, distributing vehicle data, or showcasing user-generated galleries, in accordance with this Agreement. You may not:
- Store, copy, reproduce, modify, upload, distribute, sell, lease, decompile, reverse engineer, or otherwise exploit the Materials beyond the scope of this license;
- Use the Materials to create derivative works or commercially exploit them in any manner not expressly permitted;
- Share, transfer, or sublicense your User ID or access rights to unauthorized third parties;
- Attempt to access the Materials or Services through means other than the interfaces we provide.
Your subscription entitles you to one or more User IDs per account, allowing access to the Services on a per-user basis. You agree to provide accurate and complete information when setting up your account and to update it as needed. Failure to do so may result in account suspension or termination. You are responsible for ensuring that all individuals using your User IDs (e.g., employees) are aware of and comply with this Agreement. We reserve all rights not expressly granted herein.
3. User-Generated Content
You are solely responsible for all information, data, text, images, photographs, graphics, videos, messages, or other materials you upload, post, or store via the Services (“Content”), including user-generated vehicle build galleries. By submitting Content, you grant RideStyler a worldwide, royalty-free, non-exclusive, perpetual license to host, use, display, reproduce, and distribute such Content as necessary to provide the Services and operate the platform. You represent and warrant that you own or have all necessary rights to grant us this license. RideStyler is not responsible for lost or unrecoverable Content; we recommend regularly backing up your Content outside our platform.
4. API Usage
Our Services include an API for distributing product and vehicle imagery, data, and related information. Your use of the API is subject to this Agreement and any additional API-specific guidelines or rate limits we may provide. You may not:
- Use the API in a manner that disrupts, overloads, or impairs the Services or our infrastructure;
- Redistribute API data beyond your authorized use case without prior written consent;
- Use the API to facilitate illegal activities or infringe third-party rights.
We may monitor API usage and suspend access if we detect abuse or excessive requests, at our sole discretion.
5. Feedback and Suggestions
Any questions, comments, suggestions, ideas, or feedback you provide to us (“Feedback”) are non-confidential. You grant RideStyler a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and incorporate such Feedback into our Services or Materials for any purpose, commercial or otherwise, without compensation or acknowledgment to you.
6. Content Monitoring
RideStyler may, but is not obligated to, monitor Content uploaded to the Services. We reserve the right to remove, refuse, or require you to remove any Content that we deem, in our sole discretion, to be unacceptable, inappropriate, or in violation of this Agreement. We may disclose Content or user information to comply with legal obligations, protect our rights or users, or ensure proper operation of the Services.
7. Copyright Complaints
If you believe any Materials or Content infringe your copyrights, please submit a detailed notice to copyright@ridestyler.com, including identification of the work, the infringing material, your contact information, and a statement of good faith belief in the infringement, per the Digital Millennium Copyright Act (DMCA).
8. Acceptable Use Policy
You agree to abide by the following rules when using the Services:
- You certify that you are at least 18 years of age;
- You will maintain accurate and up-to-date contact information, including a valid email address;
- You will not use the Services for illegal purposes, including fraud, intellectual property infringement, or distribution of malicious code;
- You will not use the Services if you are located in a U.S.-embargoed country or listed on the U.S. Treasury Department’s Specially Designated Nationals list;
- You will not impersonate others, misrepresent affiliations with RideStyler, or send unsolicited messages (spam);
- You will not upload Content that is pornographic, violent, illegal, harmful, slanderous, or breaches privacy;
- You will not attempt to bypass security measures, interfere with the Services, or scrape data without authorization;
- You will safeguard your account credentials and not share them with unauthorized parties.
Violations may result in account suspension, termination, or reporting to law enforcement, at our discretion.
9. Fees and Payment
Fees and payment terms for the Services vary depending on your subscription type, such as a turnkey product plan or an enterprise agreement. Specific pricing, billing cycles, and payment conditions applicable to your account are outlined on the Site or in your individual contract with RideStyler. Where a separate written agreement exists between you and RideStyler (e.g., an enterprise contract), the terms of that agreement supersede any conflicting provisions in this Terms of Use regarding fees and payments. Unless otherwise specified in your contract:
- Subscription plans may be offered on a monthly, annual, or multi-year basis, and you may upgrade or downgrade your plan at any time, with service levels adjusting at the end of your current billing cycle (no prorated refunds for downgrades unless stated otherwise in your agreement);
- Subscriptions auto-renew unless canceled via your account interface at least one (1) day prior to renewal or via our support channels at least three (3) days prior, subject to any alternative cancellation terms in your contract;
- Trial periods may be available; if you do not purchase a subscription by the end of the trial, your Content may be deleted;
- You authorize us or our payment processors to charge your provided payment method for applicable fees and taxes as outlined in your subscription or contract, and you remain liable for unpaid amounts, including collection costs.

10. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, including for noncompliance with this Agreement. You may terminate your account by following the cancellation process in Section 9. Upon termination, we may delete all associated data, and you will lose access to the Services.
11. Disclaimer of Warranties
THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SERVICES, API DATA, OR USER-GENERATED CONTENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDESTYLER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF SUCH POSSIBILITIES. YOUR SOLE REMEDY FOR DISSATISFACTION IS TO CEASE USING THE SERVICES.
13. Indemnification
You agree to indemnify and hold harmless RideStyler and its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising from your use of the Services, your Content, or your breach of this Agreement.
14. Amendments
We may modify this Agreement at any time by posting updates on the Site or notifying you via email. Continued use of the Services after such changes constitutes acceptance.
15. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Oregon, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Salem, Oregon. You waive any right to a jury trial.
16. Miscellaneous
If any part of this Agreement is unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver. Amendments must be in writing and signed by us. This Agreement is not transferable by you without our consent but is assignable by us in connection with business transactions. No third-party beneficiary rights are conferred.
